Florafelt Products Terms of Sale

These Terms of Sale are an integral part of and applicable to each purchase of products, custom kits, and structural hardware from Build Botanic LLC, doing business as Florafelt and Plants on Walls (hereafter referred to as “the Company”). By finalizing a purchase order, paying an invoice, or submitting an e-commerce transaction, the Customer consents to these Terms of Sale.

1. Limited Warranty

All structural products manufactured by the Company are sold subject to our standard Twelve (12) Month Limited Warranty. Notwithstanding any warranty parameters, the Company explicitly disclaims any and all responsibility for structural or cosmetic damage to the product itself, surrounding plant material, or the Customer’s real property premises due to:

  • Product misuse, wall overloading, accidental impact, or structural shifting;

  • Improper irrigation configurations, poor water chemical balance, lack of maintenance, or third-party product alterations.

Any structural repairs, component modifications, or product replacements requested after the expiration of the twelve-month warranty period will be executed entirely at the Customer's expense. No warranty claims will be processed or honored unless the underlying product invoice has been paid in full.

2. Strict Limitation of Liability & Surface Protection

The Company is a product manufacturer and supplier. The Company is not responsible or liable for the ongoing care, survival, growth, or maintenance of live plants utilized in our Florafelt Living Wall panels, Recirc Living Wall systems, Compact Kits, or any associated hardware.

  • Water and Moisture Disclaimer: The Company is not responsible or legally liable for water damage, moisture migration, structural wood rot, or superficial damage to the interior or exterior of buildings, residences, or architectural finishes resulting from plant transpiration, accidental moisture dripping, systemic lack of maintenance on automatic watering lines, or environmental saturation.

  • Surface Protection Mandate: It is the sole, absolute responsibility of the Purchaser to adequately shield all structural surfaces from water exposure, condensation, or system overflow. This includes, but is not limited to, installing adequate secondary water catchment drain trays, commercial vapor barriers, and moisture-resistant backing boards in all areas of potential exposure.

  • Professional Advisory: While our modular living wall systems are engineered for straightforward deployment, the Company strongly advises the Customer to retain independent, licensed landscape maintenance professionals to oversee structural mounting, plant selection, horticultural feeding, lighting arrays, and recurring system maintenance. The Company shall be held entirely harmless for property damage, structural degradation, toxic mold growth, biological infestations, bodily injury, or incidental economic losses of any kind.

3. Limited Liability for Custom Orders & Fabrications

  • Custom Estimates: The Company provides pricing estimates for large-scale custom layouts, bulk pocket-panel configurations, and specialized commercial kits based on preliminary project blueprints. If the final material specifications shift due to architectural adjustments, structural site re-measurements, or Customer-requested alterations, the final balance invoiced will be adjusted to reflect actual material counts deployed.

  • Payment Milestones: For all custom orders, commercial fabrications, or bulk freight shipments, the Customer shall issue a non-refundable 50% deposit of the total invoice price to initiate product allocation and manufacturing. The remaining 50% balance is due immediately upon product completion, prior to or upon shipment from our California fulfillment center.

  • Late Fee Accrual: Invoices remaining unpaid fifteen (15) days past the issue date will accrue interest at the lesser of 1.5% per month (18% per annum) or the maximum legal rate allowed under California law. Failure to settle outstanding balances within 15 days constitutes a material breach of sale, and the Customer shall assume liability for all corporate collection costs, asset recovery fees, and reasonable legal expenses.

  • Material and Order Modifications: If the Customer requests modifications to a custom order after deposit submission but prior to shipment, any supplemental material costs, specialized engineering delays, or logistics adjustments will be applied to the final invoice. Each structural design change requested during the active production phase will incur a flat $100 administrative processing fee in addition to underlying material and labor cost deltas.

4. Site Compliance, Permits, & Environment

  • Permit Accountability: The Customer retains sole accountability for securing all municipal building permits, structural engineering reviews, plumbing line code approvals, and fire safety compliance verifications required to install the vertical planting systems within their local jurisdiction.

  • Environmental Humidity: Living walls naturally elevate ambient moisture levels through plant respiration. The Customer is responsible for verifying that the site’s HVAC, mechanical ventilation, and air-handling infrastructure can maintain appropriate humidity bounds to prevent condensation or fogging on adjacent windows, ceilings, or architectural features.

  • Biological Infestations: Live plant material introduces natural biological variables. Insects, pests, or fungal spores may impact a living wall system via newly introduced nursery stock. The Company accepts no responsibility for the quality, health, or potential pest threats associated with live plants. If an infestation occurs, the Customer must engage an independent botanical consultant at their own expense to implement safe remediation, chemical purging, or system sanitization.

5. Irrigation Infrastructure & Equipment Disclaimers

The Company claims zero liability or operational responsibility for the structural integrity, ongoing maintenance, mechanical failure, or programming errors of automated irrigation networks, including lines, valves, and timers packaged or sold alongside our panels.

  • Component Accountability: Any internal equipment malfunctions regarding digital timers, inline filters, or mechanical pumps must be addressed directly with the third-party component manufacturer.

  • Inspection Protocol: Drip irrigation tubing, pressure regulators, and emitters must be systematically inspected by the Customer or their landscape representative to detect line clogs, scale buildup, or pressure spikes. Excessive system pressure, structural movement, or manual plant manipulation can cause quick-connect fittings or drip lines to slip loose and spray water unpredictably. All water connections must be monitored continuously.

  • System Failures: Irrigation timers and motorized valves can fail at any moment due to baseline power outages, low battery cells, lines severed by environmental factors or pests, or valve debris. Living walls require constant monitoring; during an automated system outage, the Customer must immediately execute manual hand-watering protocols to preserve plant material until automatic flow is safely restored.

  • Drainage and Containment: Because pressurized water connections are subject to sudden leaks, proper secondary drainage routes and safety drip pans must be constructed directly beneath all physical plumbing connections. The Company accepts no liability for plant loss, water remediation costs, secondary building damages, or operational downtime stemming from irrigation deployment.

6. Order Cancellation and Termination

  • Standard E-Commerce Orders: Standard retail product orders may be cancelled via email to admin@plantsonwalls.com before midnight of the third (3rd) business day following initial order submission.

  • Custom & Bulk Fabrications: For custom-built panels, custom frame arrays, or bulk commercial shipments, any termination request issued past the initial 3-day window will result in the forfeiture of the 50% non-refundable deposit. The Company shall retain all funds collected up to the effective termination date to offset specialized materials, labor scheduling allocations, and logistics routing expenses already committed to the run.
