Florafelt Product Warranty & Disclaimer

1. Limited Warranty

A. Corporate Coverage: Build Botanic LLC, doing business as Florafelt (hereafter referred to as "the Company"), warrants the following with respect to Product manufactured by the Company or bearing the official Florafelt label:

  1. That the Product is free from defects in material and workmanship and, when used in accordance with the user manuals, instructions, and installation guidelines supplied with the Product, will operate substantially in accordance with the applicable functional specifications; and

  2. That upon payment in full for the Product, they shall be rendered free and clear of liens, claims, or encumbrances of any kind.

B. Warranty Period: The above Product warranty shall extend exclusively to the original end-user purchaser of the Product for a period of twelve (12) months from the date of original shipment, unless otherwise stated on a formal quotation issued by the Company. With respect to any third-party accessories sold but not manufactured by the Company (e.g., automatic timers, pumps, or irrigation components), the Company will assign to the Customer all available manufacturer warranties.

C. Sole Remedy: The Company’s sole liability under this warranty shall be, at the Company’s absolute option:

  • (a) Either to repair or to replace the defective Product component(s) in accordance with standard return and repair procedures, or

  • (b) If after repeated efforts the Company is unable to resolve the defect by repair or replacement, to refund the original purchase price upon physical return of the defective item.

The warranty period for repaired or replaced Products shall be the remainder of the original warranty period. The Company shall incur no obligation under this warranty if:

  1. The allegedly defective Product is returned to the Company more than thirty (30) days after the expiration of the twelve-month warranty period;

  2. Verifiable tests disclose that the alleged defect is not due to manufacturing defects in material or workmanship; or

  3. In the Company's sole judgment, the Product has been subjected to misuse, neglect, alteration, improper maintenance, environmental exposure, or damage due to excessive structural weight, heat, or stress. This Product warranty is void if the serial number or labeling has been defaced, altered, or removed.

2. Warranty Limitations and Exclusions

A. Disclaimer of Implied Warranties: THE WARRANTIES SET FORTH ABOVE FOR THE PRODUCTS PROVIDED HEREUNDER ARE COMPLETE AND ARE IN LIEU OF, AND THE CUSTOMER HEREBY WAIVES, ALL OTHER CONDITIONS, REPRESENTATIONS, AND WARRANTIES, EXPRESS OR IMPLIED BY STATUTE, USAGE, CUSTOM OF THE TRADE OR OTHERWISE, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NOTWITHSTANDING ANY OTHER OR PRIOR STATEMENT, WRITTEN OR ORAL, THE COMPANY MAKES NO OTHER WARRANTIES REGARDING THE QUALITY OF ITS PRODUCT(S) OR THE MATERIALS CONTEMPLATED HEREUNDER, AND THE COMPANY EXPRESSLY DISCLAIMS ANY WARRANTIES OF DURABILITY, THAT THE PRODUCT WILL MEET ALL OF THE CUSTOMER’S EXPECTED ENVIRONMENTAL NEEDS, OR THAT THE OPERATION OF RUNNING IRRIGATION SYSTEMS WILL BE COMPLETELY ERROR-FREE.

B. High-Risk Environment Exclusion: The Customer acknowledges and agrees that the Products supplied under this Agreement are intended for standard commercial, horticultural, and residential vertical planting uses. They are not specifically designed, manufactured, or intended for use or resale in critical applications or hazardous environments requiring fail-safe performance, and in which the mechanical failure of Products could lead directly to personal injury, structural collapse, or severe physical or environmental damage (“High-Risk Activities”). The Company and its suppliers explicitly disclaim any express or implied warranty of fitness for any such use, and the Customer hereby agrees to release and hold the Company harmless from any and all liability resulting from or in connection with the implementation of these Products in High-Risk Activities.

3. Strict Limitation of Liability

THE COMPANY'S TOTAL LIABILITY SHALL BE STRICTLY LIMITED TO THE NET PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC GOODS OR TO THE REPLACEMENT OF SAID GOODS, AND THE CUSTOMER SHALL BE ENTITLED TO NO OTHER REMEDY, REGARDLESS OF THE FORM OF THE LEGAL CLAIM.

THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PRODUCT—WHETHER OR NOT SUCH DAMAGES ARE FORESEEABLE AND WHETHER OR NOT THE CUSTOMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO:

  • LOSS OF PROFITS OR REVENUE, ATTORNEYS' FEES, DAMAGE TO BRAND OR BUSINESS reputation, LOSS OF USE OF EQUIPMENT, COST OF CAPITAL, OR DOWN-TIME COSTS;

  • DAMAGES FOR ECONOMIC LOSSES OR SEVERE PROPERTY/WATER DAMAGE (INCLUDING FLOODING, MOLD GROWTH, OR STRUCTURAL WALL INTENSITY RETENTION) ARISING FROM ANY ACTS OR OMISSIONS, WHETHER IN NEGLIGENCE, STRICT LIABILITY, OR OTHER PRODUCT LIABILITY THEORIES.

THE LIMITATIONS OF LIABILITY AND WARRANTY DISCLAIMERS STATED IN THIS AGREEMENT FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND APPLY REGARDLESS OF WHETHER ANY LIMITED REMEDY HEREUNDER FAILS OF ITS ESSENTIAL PURPOSE.

4. Product Repair and Return Procedures

A. Authorization Required: No Product shall be returned without prior written corporate authorization. Inoperative or malfunctioning Product must be returned by the Customer in protective material, securely packaged to prevent damage in transit, accompanied by the original proof of purchase, and shipped prepaid to the California processing hub:

B. Return Shipping: The Company will return repaired or replaced Product via standard surface ground freight to the Customer’s location at the Company's expense. The cost of expedited freight, if requested, shall be entirely at the Customer’s expense. Product found to be fully operable after diagnostic testing (i.e., "no trouble found"), may be subject to the Company's then-current handling and testing fee.

C. Out-of-Warranty Repairs: Repairable out-of-warranty Product will be handled and repaired at the Company’s then-current labor and material charges upon receipt of the Product and the Customer’s applicable corporate purchase order or other written billing authorization.
